PAX Labs Authorized Resellers are retailers, dealers and/or ecommerce sites that sell PAX Labs products direct to consumers whether through brick & mortar stores [or online. To qualify and remain a PAX Labs Authorized Reseller, Reseller must adhere to this PAX Labs Authorized Reseller Policy at all times
1. Maintain Current Business Information & Disclose All Locations That Carry PAX Labs Products. Reseller must maintain accurate and up-to-date company information and disclose all retail locations that carry PAX Labs products throughout the term of the reseller relationship with PAX Labs. Qualifying retail locations can only be one of the following: a physical brick & mortar store(s), an ecommerce-enabled website(s) (in accordance with Paragraph 12 below), or other physical locations as may be agreed to by PAX. Each retail location associated with a Reseller must also adhere to the terms and conditions of this Policy. Resellers may not use or provide a delivery service unless subject to a separate agreement with Pax Labs.
2. Security Measures for Age Verification and Fraud Protection. PAX Labs products are prohibited in certain jurisdictions and age-restricted in all jurisdictions in which sales are allowed and Reseller must implement and have in place, prior to selling any PAX Labs product, a robust age-verification system, as applicable and policies to ensure age-verification occurs at each sale of PAX Labs products in compliance with applicable laws and regulations. Reseller must not sell into those states identified at legal.partner.pax.com site, as updated from time to time by PAX, in which sales of PAX products are prohibited by law. If Reseller is found to sell products outside its territory, into prohibited states or to underage consumers, PAX Labs may take action to restrict access to PAX Labs products. Reseller must also ensure industry-standard security and fraud protection measures are in place, including authorized territory shipping restrictions, and customer fraud resolution procedures.
3. Report Sell-Thru for Physical Retail Location(s) and E-Commerce Sites. Reseller must provide sell-thru information by SKU and retail location and such other sales and financial information and reports as reasonably requested by PAX Labs. PAX Labs reserves the right to perform an audit of sales and other financial reports pertaining to PAX Labs sales or Reseller’s business operations (including all reasonable aspects of its conduct of its business) to ensure compliance with this Policy.
4. PAX Labs’ Trademarks & Brand Policy . Reseller must comply with PAX Labs’ Trademark & Brand Policy and Third Party Marketing Guidelines and represent itself as a PAX Labs Authorized Reseller in all online advertising and sales collateral. Setting up businesses, registering domain names, or adopting social media usernames that contain any of PAX Labs’ trademarks or marks confusingly similar to PAX marks is strictly prohibited. To ensure compliance with PAX Labs’ Authorized Reseller Policy, Reseller must only use approved marketing materials for all PAX Labs products.
5. PAX Labs’ Minimum Advertised Price Policy. PAX Labs has instituted a Minimum Advertised Price (MAP) Policy. Reseller should familiarize itself with the MAP Policy.
6. Sell to Retail Consumers Only. Reseller may not sell to B2B accounts, wholesalers or other retailers, including ecommerce enable websites, or freight forwarders/drop shippers for other retailers. Reseller may sell to verified end consumers only.
7. Only Purchase PAX Labs Products from PAX Labs Directly or From Assigned and Authorized Distributor . Reseller must not buy PAX Labs products from other retailers, other Resellers, other third party marketplaces or from other sources not explicitly endorsed by PAX Labs.
8. Only Sell PAX Labs Products in Original Packaging. Reseller may not alter original PAX Labs packaging in any way prior to reselling PAX Labs products. Removing PAX Labs’ products from packaging and reselling PAX Labs products in a different packaging or under a different name is strictly prohibited.
9. No Bundling PAX Labs Products Without Obtaining Permission. Reseller must not re-SKU or bundle PAX Labs products in its online assortments and data feeds without receiving prior written permission from PAX Labs. Reseller also agrees not to make available to others, or otherwise use or exploit, any PAX Labs product for any contests, sweepstakes and/or giveaways (or similar events) without prior written permission of an authorized representative of PAX Labs.
10. Bulk Sales. Reseller agrees to reasonably cooperate with PAX Labs in preventing unauthorized exportation of PAX Labs products. For PAX Labs products which incorporate an individualized numerical designation (e.g. serial number) and which are sold in bulk, defined as five (5) or more units in a single transaction, or ten (10) or more units purchased by the same individual within thirty (30) days (“Serialized Bulk Products”), Reseller shall use best efforts to obtain the following information from the customer: customer name, customer address, customer phone, product serial numbers, and dates of transaction. The customer information is not required to be transferred to PAX Labs unless specifically requested, however, it should be retained and used to identify suspicious purchase patterns. In the event the customer refuses to provide such information, Reseller should reduce the transaction quantity to below the applicable Serialized Bulk Products threshold set forth above.
11. Customer Confusion. Reseller will not advertise, market, display, or demonstrate non-PAX Labs products together with PAX Labs products in a manner that could reasonably create the impression that the non-PAX Labs products are made by, endorsed by or associated with PAX Labs.
12. Sell on Approved Retail Website(s) Only. Reseller may only take online orders via publicly accessible ecommerce enabled web pages and hosted websites which are owned and operated by Reseller. In any event, all such websites must first be approved in writing by PAX Labs, in its sole discretion. Sales of PAX Labs products on third party sites (eBay, Amazon, Alibaba, etc.), through drop-ship accounts (Buy.com, Newegg.com, Overstock.com, etc.), or via direct messages on forums are strictly prohibited.
13. Sell to Customer(s) Within An Assigned Geographic Territory. Reseller must restrict customer order shipments to shipping addresses located within its designated territory. This includes a prohibition on selling or shipping PAX Labs products to end consumers through an ecommerce website, if PAX Labs has not explicitly authorized Reseller in writing to sell into the online channel. Reseller shall not ship outside of the USA.
14. Ensure PCI Compliance. Resellers who are authorized by PAX Labs to sell into the online channel must ensure PCI compliance for all approved ecommerce-enabled websites owned and operated by Reseller.
15. Maintain Updated Privacy Policy. If Reseller is approved for an ecommerce-enabled website for the sale of PAX Labs products, Reseller must publish and maintain a publicly accessible privacy policy that complies with all applicable law.
16. Operate Ecommerce Business Separately from Offline Retail Business. Reseller, if authorized in writing by PAX Labs to sell through the online channel, must plan inventory for their ecommerce business separately from inventory planned for its physical store’s business and provide accurate sell-thru numbers for each.
17. Security Measures for E-Commerce Sites. Reseller must ensure industry-standard e-commerce security measures are in place, including two-factor authentications.
18. Additional Reseller Obligations for PAX Labs Dealer Locator. Reseller’s store locations may be listed in the PAX Labs online dealer locator at PAX Labs’ sole discretion. If Reseller markets non-PAX Labs products intended for use as add-on, accessory or compatible products to PAX Labs products, it will forfeit the opportunity for its stores to be listed on the PAX Labs dealer locator.
19. Resellers may not enter into Affiliate Relationships. Resellers who are authorized in writing for online sales may not enter into affiliate relationships with third parties to generate online traffic without PAX’s prior written consent. Reseller shall be responsible for such third parties’ compliance with PAX’s Trademark and Brand Policy and Third Party Marketing Guidelines. Violations of PAX policies by third party affiliates of Reseller will be deemed a violation of this Reseller Policy by Reseller.
20. Obey the Law, Abide by Policy Rules & Serve Customer Needs. Reseller must (a) comply with all applicable laws, rules, regulations and policies related to advertising, sale and marketing of PAX Labs products; (b) maintain all legally required licenses to engage in sales of PAX Labs’ products; and (c) provide customer support by promptly referring all customer warranty issues and complaints with respect to PAX Labs products to PAX Labs customer support. Failure to comply with all of the terms in PAX Labs Authorized Reseller Policy may result in escalation of penalties and which may result in suspension or termination of your status as an Authorized Reseller.

PAX Labs US Minimum Advertised Price Policy Effective 11.1.17
1. Introduction
At PAX Labs, Inc., we are leading the innovation of premium vaporizers with PAX and JUUL products.
Founded by two Stanford Design Program graduates, San Francisco-based PAX Labs, Inc. was developed with the mission of making vaporization mainstream. We create superior, beautiful and technologically advanced products that disrupt and redefine the category. We build products that are not only more effective but also those that consumers can relate to: pleasurable, beautiful experiences.
PAX Labs maintains a high-quality image in the marketplace. However, we recognize that our success is tied to the success of our network of select authorized resellers. We also know that many of our resellers invest significant time and resources to deliver an extraordinary customer experience. We want to encourage them to continue to do so and to advertise PAX Labs products, while at the same time helping to preserve the high quality image of our products. As a result, PAX Labs has unilaterally established this Minimum Advertised Price (“MAP”) Policy. For purposes of this MAP Policy, “resellers” are retailers, dealers and/or ecommerce sites that sell PAX Labs products direct to consumers, whether through brick & motor stores or online.
2. Policy Statement
PAX Labs, in its sole discretion, reserves the right to discontinue doing business with any reseller that advertises any product(s) covered by this MAP Policy at a price lower than the MAP.
3. General Guidelines
- The products covered by this MAP Policy are listed in Section 7 (“MAP Products”). PAX Labs may in its sole discretion modify this list from time to time.
- PAX Labs recognizes that resellers are free to make their own decisions to advertise and sell any PAX Labs product at any price they choose, without consulting or advising PAX Labs. Similarly, PAX Labs will exercise its right to make its own decisions regarding the PAX Labs Authorized Reseller Program, supplemental marketing materials, point-of-purchase displays, product allocation, new product availability, and future promotional, joint marketing, or sponsorship programs.
- Without limiting PAX Labs’ rights set forth in this MAP Policy, PAX Labs does not seek and will not accept any agreement or assurance from any reseller that it will not advertise at prices below those set out in the MAP Policy or otherwise comply with the terms of this MAP Policy.
- The MAP Policy applies to advertised prices only, not the price at which MAP Products are actually sold or offered for sale to an individual in-store, over the telephone or, where applicable, online.
- This MAP Policy has been unilaterally set by PAX Labs and is not subject to negotiation.
4. MAP Policy Guidelines
- This MAP Policy applies to all advertisements or outbound reseller marketing communications of MAP Products in any and all media, including but not limited to flyers, posters, coupons, mailers, inserts, newspapers, magazines, catalogs, television, radio, and public signage, as well as Internet sites, social media sites, apps, or any other electronic media.
- This MAP Policy also applies to any activity which PAX Labs determines, in its sole discretion, is designed or intended to circumvent the intent of this MAP Policy, such as solicitations for “group purchases” and the like.
- This MAP Policy does not apply to solely on-premises or in-store advertising, telephone calls and written responses to specific inquiries.
- Website features such as “click for price,” automated “bounce-back” pricing e-mails, pre-formatted e-mail responses, forms, and automatic price display for any items prior to being placed in a customer’s shopping cart, and other similar features which transmit an online price request, and/or which do not include personal contact between the customer and a sales/service professional are considered to be communications initiated by the reseller (rather than by the customer) and thereby constitute “advertising” under this MAP Policy.
- It shall not be a violation of this MAP Policy to advertise that a customer may “call for price” or “email for price,” or to use similar language, specifically with respect to PAX Labs Products, so long as no price is listed.
- It shall not be a violation of this MAP Policy to advertise in general that the
reseller has “the lowest prices” or will match or beat its competitors’ prices, or to use similar phrases; so long as the reseller does not include any advertised price below MAP and otherwise complies with this MAP Policy. - From time to time, PAX Labs may permit resellers to advertise MAP Products at prices lower than the MAP retail price. In such events, PAX Labs reserves the right to modify or suspend the MAP with respect to the affected products
for a specified period of time by providing advance written notice to all resellers of such changes.
h. From time to time PAX Labs may offer a direct manufacturer’s rebate to customers. In such events, it shall not be a violation of this MAP Policy to advertise the availability of the manufacturer’s rebate, provided that:
- the advertisement includes a MAP-compliant price, the rebate amount, and the net price after manufacturer’s rebate in the same type size and style;
- an asterisk is placed next to the net price after manufacturer’s rebate; and
- “*after manufacturer’s rebate” appears in the same area of the advertisement as the advertised product.
5. Bundling Guidelines
a. “Bundling,” i.e. advertising MAP Products for sale together with other products, will violate this MAP Policy when:
- the effective or stated advertised price of the bundle represents a discount of greater than 15% of the MAP; or
- the product(s) bundled with MAP Products violate PAX Labs’ Intellectual Property rights; or
- the product(s) bundled with MAP Products violate the PAX Labs Trademark and Brand Policy; or
- the product(s) bundled with MAP Products include words, packaging, graphics, or other indicia which may create customer confusion as to the source of the product(s); or
- the effective or stated advertised discount is greater than 15% of the highest priced item in the bundle.
b. Product(s) bundled with the MAP Products must not, without conspicuous warning, be technically incompatible with PAX Products
c. Gift cards, coupons, points, or other incentives which are contingent on the purchase of a MAP Product will violate this MAP Policy when:
- the effective or stated advertised price of the bundle represents an immediate discount of greater than 15% of the MAP; or
- the effective or stated advertised price of the bundle represents a discount of greater than 15% of the MAP after taking into consideration any contingent future purchase.
d. Rebate, loyalty and/or referral programs implemented by PAX Labs, whether on MAP Products or PAX Labs’ partners’ products are exempt from this policy.

6. Policy Enforcement
a. If a reseller with multiple store locations violates this MAP Policy at or with respect to any one store location, or on any associated website, then PAX Labs will consider this to be a violation by the reseller.
b. PAX Labs reserves the right to cancel any pending orders, restrict future orders, or suspend or terminate resellers’ account if PAX Labs reasonably believes:
- a reseller has violated the provisions of this MAP Policy; or
- a reseller intends to violate this MAP Policy.
c. PAX Labs is solely responsible for determining whether a violation of the MAP Policy has occurred, as well as determining appropriate sanctions.
d. PAX Labs monitors the advertised prices of resellers, either directly or via the use of third party agents or tools. Resellers are expected to provide reasonable cooperation in any PAX Labs investigations regarding their own possible MAP Policy violations. Hindering, obstructing, delaying, or otherwise failing to cooperate with a PAX Labs MAP Policy investigation is a violation of this MAP Policy.
e. The MAP Policy will be enforced by PAX Labs in its sole discretion and PAX Labs will not provide prior notice or issue warnings before taking any action under this MAP Policy. Any questions related to this MAP Policy should be directed only to PAX Labs’ Policy Administrator at [email protected]. The MAP Policy has been carefully crafted by PAX Labs to enhance the competitiveness and high quality image of its products and is applicable on a company-wide basis; as such, all communications from PAX Labs regarding this MAP Policy must come from such PAX Labs’ Policy Administrator, and resellers should not rely any communications (whether written or verbal) from any other PAX Labs employee or representative.
f. Resellers have no right to enforce this MAP Policy.

If granted permission to use PAX Labs, Inc.’s (“PAX”) trademarks or branding, you must always follow this Brand Usage and Trademark Usage Guide. If we provide you additional written requirements (size, typeface, colors, etc.) at the time of our permission, you must implement them before using our trademarks or branding. If we provide these requirements after we initially gave our permission, you must implement them within the requested timeframe (or, if not otherwise specified, a commercially reasonable timeframe).
PAX reserves the right to update its Brand Usage and Trademark Usage Guide at any time, and PAX will provide you with an updated copy upon request. PAX also reserves the right to remove permission to use PAX trademarks or branding in its sole discretion.
You may use PAX’s word marks and names in text to refer to PAX’s products, services and related technology, but only if you follow these guidelines and your use is accurate, fair, and not misleading. Use of PAX logos are not permitted unless pursuant to a separate written agreement. PAX exclusively owns any goodwill generated by the use of PAX’s trademarks.
How to Use our Trademarks and Branding Correctly
- Always follow this Brand Usage and Trademark Usage Guide.
- Use PAX’s trademark only as an adjective, never as a noun or verb, and never in the plural or possessive form (e.g., “PAXes” and “PAXing” are unacceptable uses).
- Never use PAX’s trademark as a generic term for the product category.
Prohibited Uses of our Trademarks and Branding
- Do NOT remove, distort or alter any element of PAX’s trademarks or branding. That includes modifying a PAX trademark, for example, through hyphenation, combination, translation or abbreviation. There’s more on how to use our trademarks in our Design Guide (Appendix A).
- Do NOT shorten, abbreviate, or create acronyms out of PAX trademarks.
- Do NOT use PAX’s trademarks more prominently than your own trademarks, name, trade name, product name, service name, or other name. You should distinguish these names visually from any PAX trademark or other name.
- Do NOT use PAX’s trademarks in any manner that expresses or implies PAX has any affiliation, sponsorship, endorsement, certification, or approval of your product, service, or company, unless specifically authorized in writing by PAX.
- Do NOT display a PAX trademark or branding in a manner that is unfair, defamatory, infringing, libelous, disparaging, obscene, or otherwise objectionable to PAX (this is in no way meant to discourage criticism, opinion, or commentary).
- Do NOT display PAX trademarks or branding on a site or on material that violates any law or regulation or third-party rights.
- Do NOT use PAX trademarks or branding in any advertising, sales or other activities that would violate any relevant laws or regulations, including marketing or sales to minors or in false or misleading advertising.
- Do NOT incorporate PAX trademarks or branding into your own product name, service names, trademarks, logos or company names.
- Do NOT adopt marks, logos, slogans, or designs that are confusingly similar to PAX’s trademarks or branding.
- Do NOT copy or imitate PAX’s trade dress or copyrighted materials, including the look and feel of PAX web design properties or PAX brand elements, distinctive color combinations, typography, graphic designs, product icons, or imagery associated with PAX.
- Do NOT use or register PAX trademarks as, or incorporated in, social media account names, profiles, or aliases.
- Do NOT register PAX trademarks as second or third-level domain names or use PAX trademarks in post-domain paths.
- Do NOT use PAX trademarks in a way that suggests a common, descriptive, or generic meaning.
- Do NOT use the registration symbol (®) in connection with marks in countries where our marks have not been registered. Trademark rights vary from country to country. If you have any question on registration, please contact the Legal Department.

Appendix A
Design Guide
PAX Trademarks
PAX uses the trademarks PAX, PAX2, PAX 3, and PAX LABS. These marks serve as our signature on everything from company communications to products to swag. They enable us to maintain consistency and they should not be modified in any way.
Wordmark Usage
The wordmark PAX Labs, Inc. or PAX LABS should be used by default in any instance requiring a “company signature.”
The PAX Logos
Below are illustrations of the PAX Logos as they should appear wherever they are used.
PAX Logo Color
PAX uses two colors when displaying our marks; brand black and brand green. Examples of the PAX Logos in these acceptable colors are below.
How to Use the PAX Logos
Area of Noninterference
The area of noninterference ensures that the PAX Logo has enough breathing room and doesn’t compete with other elements in the layout or landscape. There should be a minimum amount of clear space on all sides of the logo that is equal to one quarter of the height of the logo.
PAX Logotype Minimum Size
Pax 2 Serial Number
The PAX Logos should always appear clearly and prominently. To be sure the logotype is always legible and effective, never reproduce it at less than 15mm in print or 90 pixels online. These are minimum, not preferred sizes.
Acceptable Backgrounds
Where possible, the PAX Logo should appear in brand black or brand green on a white background. In instances where it is not possible to display the PAX Logo against a white background, a similarly neutral color should be selected. If the PAX Logo is placed over a nonwhite neutral colored background, the PAX Logo should appear in brand black to preserve legibility. If placed on a black background the PAX Logo should appear in white.
In cases in which it is necessary to place the logo on a patterned background, you may create a box of solid color around the logo, using the area of noninterference to determine the dimensions of that box.
Take care to ensure that the logotype is clearly legible at all times.
How NOT to use the PAX Logos
- Do NOT change the spatial arrangement of any letter comprising the PAX Logo. The logo has been designed with a specific relationship between the height and width of the letters and the space in between the letters. This may not be adjusted for individual applications.
- Do NOT use another font for the word “PAX” than the font employed by the logo. The design of the letters in the name is an inherent part of the PAX Logo. No other fonts may be substituted.
- Do NOT add additional text or words after the word “PAX.”
- Do NOT add decorative elements behind or around the PAX Logo, even if they seem to be related to the PAX identity. Other elements weaken the overall impact of the PAX Logo and make the logo less recognizable.
- Do NOT display only a portion of the logo or allow it to bleed off the page. The PAX Logo must always appear in its entirety with the proper amount of noninterference space.
- Do NOT stretch, italicize, compress, skew or otherwise distort the PAX Logo. This destroys the integrity of the logo and introduces inconsistency in the way the brand is represented.
